Terms of trade
The terms that apply to trade accounts, orders and supply of ShadowDeck™ products.
Last updated: October 2026
Application
These terms of trade apply to every quote, order and supply of ShadowDeck™ products to trade customers, resellers and account holders, unless we agree otherwise in writing.
Trade accounts
Trade accounts are subject to an approved credit application. We may change credit limits or close an account at any time. You must tell us about any change of ownership, name or address.
Quotes and pricing
Quotes are valid for 30 days. Prices are in New Zealand dollars and exclude GST and freight unless stated. We may change prices without notice for orders not yet accepted.
Orders
An order is accepted when we confirm it in writing. Cancelled orders or custom items may incur a charge for costs already incurred.
Payment
Unless otherwise agreed, account customers must pay by the 20th of the month following invoice. Non-account orders must be paid before dispatch. Overdue amounts may incur interest and recovery costs.
Delivery and risk
Delivery dates are estimates. Risk passes to you on delivery. Please check goods on arrival and report any damage or shortage within 48 hours.
Ownership and security
Ownership of goods passes to you only when paid in full. Until then, we hold a security interest in the goods and their proceeds under the Personal Property Securities Act 1999, and you waive your rights under sections 114(1)(a), 133 and 134 of that Act to the extent permitted.
Returns
Standard stock in new, resaleable condition may be returned within 30 days with our approval. A restocking fee may apply. Custom-cut or special-order items cannot be returned.
Liability
To the extent permitted by law, our liability is limited to repairing or replacing goods or refunding the price paid. We are not liable for indirect or consequential loss. Business customers agree that the Consumer Guarantees Act 1993 and sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply.
Governing law
These terms are governed by the laws of New Zealand.
